General Terms and Conditions for Business Customers of Bobbel Home B.V.

Article 1 Definitions
- Bobbel Home: Bobbel Home B.V., with its registered office in Amersfoort, registered with the Chamber of Commerce under number 64740129 and with VAT registration number NL855810804B01.
- Customer: any natural person or legal entity acting in the course of a profession or business who enters into or wishes to enter into an agreement with Bobbel Home.
- Agreement: any agreement between Bobbel Home and the Customer concerning the sale and supply of products, services or other performance.
- Products: all movable goods offered, sold or supplied by Bobbel Home.
- Consumer: a natural person who is not acting in the course of a trade or business.
- Reseller: a Customer who resells Bobbel Home’s Products to third parties, including consumers.
- In these terms and conditions, ‘in writing’ shall also be understood to include communication by email or via any other electronic medium, provided that the content thereof is sufficiently clear and verifiable.
Article 2 Applicability
- These general terms and conditions apply to every commercial offer, every quotation, every order, every contract and every delivery made by Bobbel Home to a Customer.
- These terms and conditions are intended exclusively for commercial transactions. Contracts with consumers are governed by Bobbel Home’s separate terms and conditions for consumers.
- The Customer’s general terms and conditions, purchasing conditions or any other terms and conditions are expressly rejected.
- The Customer’s terms and conditions shall apply only if Bobbel Home has expressly accepted them in writing prior to the conclusion of the agreement.
- Placing an order, accepting a quotation or taking delivery of Products shall constitute acceptance of these general terms and conditions if they have been made available to the Customer before or at the time of concluding the agreement.
- Deviations from these terms and conditions are valid only if confirmed in writing by Bobbel Home.
- If any provision of these terms and conditions proves to be wholly or partially invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties shall replace the provision in question with a legally valid provision that approximates the purpose of the original provision as closely as possible.
Article 3 Offers, quotations and conclusion of the contract
- All offers and quotations from Bobbel Home are without obligation, unless expressly stated otherwise in writing.
- An offer or quotation is valid for the period specified therein. If no period is specified, Bobbel Home may amend or withdraw the offer or quotation at any time provided that no contract has yet been concluded.
- Obvious errors, mistakes, typographical errors, incorrect prices, incorrect stock information or other clear inaccuracies are not binding on Bobbel Home.
- A contract is formed once Bobbel Home has confirmed the order in writing or electronically, has fulfilled the order or has dispatched the Products.
- Bobbel Home is entitled to refuse an order without giving reasons, to impose additional conditions or to require full or partial payment in advance.
- Bobbel Home may carry out a credit check on the Customer prior to delivery.
Article 4 Prices
- All business prices are exclusive of VAT, unless expressly stated otherwise.
- Any delivery costs, pallet charges, import duties, levies, taxes, insurance and other costs shall be borne by the Customer, unless otherwise agreed in writing.
- Bobbel Home is entitled to amend prices before a contract has been concluded.
- If, after the conclusion of the contract, cost-increasing factors arise over which Bobbel Home has no reasonable control – including increases in transport costs, import duties, raw material prices, supplier prices, taxes or exchange rates – Bobbel Home is entitled to pass on these costs to the extent permitted by law.
Article 5 Payment
- Bobbel Home is entitled to require full or partial payment in advance.
- Bobbel Home is at all times entitled to set a credit limit for each Customer and to amend or withdraw this unilaterally. As soon as a Customer reaches or is in danger of exceeding this credit limit, Bobbel Home is entitled to suspend further deliveries until the Customer has provided additional security or settled the outstanding amount.
- Where payment by invoice has been agreed, a payment term of fourteen calendar days from the invoice date shall apply, unless a different term has been agreed in writing.
- Payment must be made without any discount, set-off, suspension or deduction, to the extent permitted by law.
- The Customer may not suspend a payment obligation on the grounds of a complaint, return, warranty claim or other counterclaim.
- If the Customer has not paid within the agreed payment term, the Customer shall be in default by operation of law without any further notice of default being required, to the extent permitted by law.
- From the moment of default, the Customer shall owe statutory commercial interest on the outstanding amount.
- All payments made by the Customer shall first be set off against any costs due, then against interest, and subsequently against the oldest outstanding invoices.
- Bobbel Home is entitled to suspend further deliveries immediately if an invoice is not paid on time.
- All outstanding claims of Bobbel Home shall become immediately due and payable if:
a. the Customer fails to pay on time;
b. the Customer applies for bankruptcy or is declared bankrupt;
c. an application for a moratorium on payments is made;
d. an attachment is made on the Customer’s assets;
e. the Customer’s business is wound up or liquidated;
f. Bobbel Home has reasonable grounds to fear that the Customer will not fulfil its payment obligations.
Article 6 Debt collection and costs of recovery
- If the Customer fails to pay on time, Bobbel Home is entitled to refer the claim to a debt collection agency.
- All reasonable out-of-court costs incurred by Bobbel Home in order to obtain payment shall be borne by the Customer.
- The out-of-court debt collection costs amount to fifteen per cent of the outstanding amount, with a minimum of €150 excluding VAT, unless the costs actually incurred and reasonably necessary are higher.
